ROOTS SURROGACY AMBASSADOR & CHEERLEADER PROGRAM AGREEMENT
Version 2026-11-v1
1. Program Participation
The Roots Surrogacy Ambassador & Cheerleader Program is designed to empower former Roots surrogates and community advocates to share their authentic experiences and introduce others to Roots.
Participants must apply and be accepted into one of two program categories:
- Brand Ambassador: An approved participant eligible for a monthly community connection budget and referral compensation as outlined below.
- Cheerleader: An approved participant who may receive individual payments for qualifying social media participation but does not receive a monthly community budget or guaranteed compensation.
Participation is voluntary. Neither program creates an employment relationship with Roots. Either party may terminate participation at any time.
Roots reserves the right to determine program eligibility and approve or decline applications.
2. Expectations
All participants agree to:
- Represent Roots professionally, respectfully, and honestly.
- Share only truthful, first-hand experiences and genuine opinions.
- Avoid making promises about surrogate compensation, acceptance, timelines, matching, or medical outcomes.
- Refer interested women to Roots rather than attempting to qualify them independently.
- Follow all applicable laws regarding advertising, endorsements, and social media disclosures.
- Respect the privacy of intended parents, surrogate applicants, and other program participants.
- Never pressure anyone to pursue surrogacy.
3. Brand Ambassador Community Budget
Approved Brand Ambassadors are eligible for a $300 per month community connection budget.
Funds may be used only for legitimate program-related community-building activities, including coffee, lunch, small gatherings, playdates, mom's nights out, or other approved opportunities to connect with women interested in learning about surrogacy.
Receipts or documentation may be requested for reimbursement or recordkeeping. Unused funds do not automatically roll over to future months unless approved by Roots.
The community budget is available only to approved Brand Ambassadors and does not apply to Cheerleaders.
4. Brand Ambassador Referral Compensation
Approved Brand Ambassadors are eligible for the following referral payments:
- $5,000 upon the referred candidate's approval as a qualified surrogate.
- Brand Ambassadors will also receive a Kate Spade or Tory Burch handbag once their first candidate is approved as a qualified surrogate. The handbag options are provided to the ambassador from Roots, and the ambassador will have a choice.
Referral credit belongs to the Brand Ambassador whose unique referral link or landing page is used first, unless otherwise determined by Roots.
Payments are made according to the program schedule. Roots may update referral compensation with notice, but changes will not retroactively reduce payments already earned.
Cheerleaders are not eligible for these referral payments unless separately approved in writing by Roots.
5. Cheerleader Participation and Compensation
Cheerleaders do not receive a monthly stipend, community connection budget, or guaranteed compensation.
Approved Cheerleaders may be eligible for individual payments for qualifying social media participation, including sharing their experiences, responding to questions, or participating in relevant online conversations about Roots and surrogacy.
To qualify for payment:
- The Cheerleader must be formally accepted into the program before participating in a compensated activity.
- The activity must meet the eligibility criteria communicated by Roots.
- The Cheerleader must submit a screenshot or other requested documentation showing where and how they participated.
- Roots must review and approve the submission before payment is authorized.
Participation must reflect the Cheerleader's genuine experiences and opinions. Roots does not require participants to make false or misleading statements, and compensation may not be conditioned on expressing a particular sentiment in a consumer review.
Once a qualifying submission is approved, an authorized Roots representative will contact the Cheerleader to coordinate the preferred method of payment.
Roots reserves the right to determine eligible activities, payment amounts, submission requirements, and approval criteria. Compensation is not guaranteed unless the activity and applicable payment amount have been approved by Roots.
6. Independent Contractor Status and Taxes
All participants understand and agree that:
- They are not employees of Roots Surrogacy.
- They are responsible for reporting compensation received through the program and paying all applicable federal, state, and local taxes.
- Roots will not provide employee benefits or withhold payroll taxes except as required by applicable law.
- Roots may request a completed IRS Form W-9 or other required tax documentation before issuing payment.
- Roots will issue IRS Form 1099-NEC or other applicable tax reporting documents when required by law.
- Nothing in this agreement creates an employment relationship, partnership, or joint venture.
The parties intend an independent relationship. The legal classification of participants remains subject to applicable law.
7. Confidentiality
Participants agree to keep confidential all nonpublic information obtained through their participation, including:
- Intended parent information.
- Surrogate applicant information.
- Internal Roots materials.
- Nonpublic business processes and operational information.
- Other confidential information identified by Roots.
Confidentiality obligations survive termination of program participation, except where disclosure is permitted or required by law.
8. Privacy
Participants may receive limited information regarding their referrals but will not receive confidential applicant, intended parent, or medical information.
Roots controls all applicant communications, qualification decisions, and management of the surrogacy process.
Participants may not share another person's private information, photos, or surrogacy journey details without appropriate authorization.
9. Brand Guidelines
Participants may use approved Roots logos, graphics, messaging, referral links, and other materials provided for program activities.
Participants may not:
- Alter Roots logos without permission.

10. Social Media and FTC Disclosure
Participants agree to communicate respectfully, avoid misleading claims, and comply with applicable advertising and endorsement laws.
When posting or participating in social media activities connected to compensation, referral incentives, or other benefits received from Roots, participants must clearly and conspicuously disclose their relationship with Roots in accordance with Federal Trade Commission guidelines.
Disclosures must be understandable and placed where viewers are likely to notice them. Participants may use language such as "I'm a Roots Ambassador" or "I'm part of the Roots Cheerleader Program and may receive compensation for participating," as appropriate to the activity.
Participants must not:
- Make misleading or unsubstantiated claims about Roots.
- Engage in harassment or hostile arguments while representing Roots.
- Post confidential or private information.
- Submit fabricated testimonials or misrepresent personal experiences.
- Post incentivized consumer reviews where prohibited by law or platform policies.
Roots may request removal or correction of content that misrepresents the brand, violates program guidelines, or fails to comply with applicable law. Nothing in this agreement requires participants to conceal truthful opinions or lawful disclosures.
11. Content License
Participants grant Roots a nonexclusive, royalty-free license to use, reproduce, share, and display photos, videos, testimonials, quotes, and social media content they create and submit as part of the program for Roots marketing and promotional purposes.
Participants represent that they have the necessary rights and permissions to provide such content.
This permission survives termination unless revoked in writing, subject to any applicable rights or obligations regarding content already published or distributed.
Roots will not knowingly publish confidential information or identifiable content involving other individuals without appropriate permission.
12. Landing Pages and Referral Links
Roots retains ownership and control of all program landing pages, UTM parameters, referral links, QR codes, and related tracking assets.
If a participant leaves the program, Roots may deactivate or redirect any associated landing page or referral link.
Participants may not transfer or assign their referral links to another person without Roots' approval.
13. Termination
Either party may terminate participation at any time.
Roots may immediately suspend or terminate participation if a participant:
- Misrepresents Roots.
- Violates confidentiality or privacy requirements.
- Behaves unprofessionally.
- Violates applicable laws or platform policies.
- Uses the program fraudulently.
- Fails to comply with program requirements.
Any approved compensation or referral payments earned before termination will remain payable according to the applicable program terms.
14. Roots Values
As a Roots Brand Ambassador or Cheerleader, you represent the values of Roots in your interactions with prospective surrogates and the broader community.
We ask participants to communicate with honesty, kindness, professionalism, and respect. We believe women should feel informed, not pressured, and every conversation should reflect the trust and integrity that define the Roots experience.
